Terms and Conditions for Affiliate Program.

These Terms and Conditions (“Agreement”) govern your participation as an affiliate (“Affiliate”) in the affiliate program (“Program”) offered by [Company Name] (“Company”), for the promotion and referral of the online program (“Program”) offered by Company. By joining the Program, you agree to comply with and be bound by this Agreement. Please read these terms carefully.

1. Enrolment in the Program:
1.1 To become an Affiliate, you must complete the Company’s contract and receive approval. The Company reserves the right to accept or reject any application at its sole discretion.

2. Affiliate Responsibilities:
2.1 As an Affiliate, you agree to promote and market the Company’s Program through legitimate marketing channels in a professional manner.
2.2 You shall not engage in any deceptive, misleading, or unethical practices to promote the Program.
2.3 You are solely responsible for the content and accuracy of your marketing materials, including but not limited to websites, social media posts, and emails.

3. Affiliate Commissions:
3.1 The Company agrees to pay the Affiliate a commission (“Commission”) for each eligible sale generated through the Affiliate’s unique referral link.
3.2 The Commission rate and payment terms will be outlined in a separate agreement or communicated to the Affiliate.
3.3 Commissions will only be paid for sales that have been confirmed by the Company and are not subject to refunds, chargebacks, or cancellations.

4. Intellectual Property:
4.1 The Company grants the Affiliate a non-exclusive, non-transferable, revocable license to use the Company’s trademarks, logos, and promotional materials solely for the purpose of promoting the Program.
4.2 The Affiliate acknowledges and agrees that all intellectual property rights related to the Program, including but not limited to copyrights, trademarks, and trade secrets, shall remain the sole property of the Company.

5. Termination:
5.1 Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party.
5.2 Upon termination, the Affiliate shall immediately cease promoting the Program and remove any Company trademarks or promotional materials from their marketing channels.

6. Confidentiality:
6.1 The Affiliate shall not disclose any confidential information obtained from the Company during the course of the Program, including but not limited to customer lists, marketing strategies, and product information.
6.2 This obligation of confidentiality shall survive the termination of this Agreement.

7. Limitation of Liability:
7.1 The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the Program.
7.2 The maximum liability of the Company to the Affiliate for any claim related to this Agreement or the Program shall not exceed the total Commission paid or payable to the Affiliate under this Agreement.

8. Modification:
8.1 The Company reserves the right to modify, suspend, or terminate the Program or this Agreement at any time, with or without notice.
8.2 The Affiliate is responsible for regularly reviewing the terms and conditions of this Agreement to stay informed of any changes.

9. Governing Law and Dispute Resolution:
9.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
9.2 Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties.

  1. Data Protection:

10.1 Each party shall, at his own expense, ensure that it complies with an assists the other party to comply with the requirements of all legislation and regulatory requirements in force from time relating to the use of personal data, including (without limitation) the UK general data protection regulation and any national implementing and supplementary laws, regulations and secondary legislation, including the Data Protection Act 2018 this clause is in addition to, and does not reduce, remove or replace, the parties obligations arising from such requirements. The affiliate must not sell or pass on any converted lead dated to any third party. 


The parties will have separate contracts to sign to acknowledge the above.
